Distance Sales Agreement

This agreement governs the online sale of URİKEM product and plan services, in accordance with Türkiye's Consumer Protection Law No. 6502 and the Distance Contracts Regulation.

1.2. Buyer

The person whose full name or company name, address, email and phone number are given in the sign-up form, the order or the order confirmation. The Buyer declares that this information is accurate and complete.

2. Subject of the agreement

The subject of this agreement is to set out the rights and obligations of the parties regarding the provision of the URİKEM product and plan services ordered electronically by the Buyer through urikem.com, whose features and price are described below.

3. Features and price of the service

Under its SME plans named Starter, Business, Growth and Professional (in Turkish: Esnaf, KOBİ, Büyüme, Profesyonel), URİKEM provides services such as an AI customer assistant, a booking system, social media automation, site maintenance and security, GEO support, an AI visibility report, and report and quote automation. The contents and current monthly price of each plan are shown on the Products page.

The plan chosen by the Buyer, its scope, price and service period are also confirmed in writing in the order confirmation. TL prices shown on the website exclude VAT (KDV); 20% VAT is added. A Buyer established outside Türkiye and purchasing for commercial purposes is charged the foreign-currency (USD, EUR or GBP) prices shown on the non-Turkish versions of the website; since these sales are an export of services under Article 11/1-a of Turkish VAT Law No. 3065, no VAT is added to the price. A Buyer established in Türkiye is charged the TL price plus VAT. Sales outside Türkiye are made only to businesses purchasing for commercial purposes. Payment is made upfront by credit or debit card on PayTR's secure payment page during sign-up.

Custom tools built for a company and website work outside the scope of a plan are not covered by this agreement; they are provided under a separate quote and a separate agreement.

4. Performance of the service

Once payment has been confirmed as received in the Provider's account, the Provider schedules a setup call with the Buyer, sets up the products in the plan with the Buyer's details and makes them available. The setup time is stated in the order confirmation and in any case may not exceed 30 days from confirmation of payment.

The service period begins on the date the products are made available and lasts one month. The service continues as long as the Buyer pays the fee for each period. Unused service time does not carry over to the next period.

When setup is complete and the products are activated, the Buyer gives an electronic delivery confirmation for each product in the customer panel. The confirmation is recorded together with the confirmed text, date and time, IP address and browser information, and is kept as proof that the service has been performed.

5. Right of withdrawal

A Buyer who qualifies as a consumer has the right to withdraw from the agreement within 14 days of its conclusion, without giving any reason and without paying any penalty. Notice of withdrawal is given in writing to info@urikem.com; the full amount paid is refunded within 14 days of receipt of the notice.

Under Article 15(1)(h) of the Distance Contracts Regulation, the right of withdrawal cannot be exercised for contracts for services whose performance has begun with the consumer's consent before the withdrawal period expires.

If the Buyer expressly agrees that setup may begin before the withdrawal period ends, the Buyer can no longer exercise the right of withdrawal once setup has started.

If the Buyer orders as a merchant or tradesperson for commercial purposes, the consumer right of withdrawal does not apply; in that case the Cancellation and Refund Policy applies.

8. Nature of AI outputs

AI-generated content is for information only and is not a substitute for legal, medical, financial or investment advice. AI systems can produce wrong or incomplete information. The Buyer is responsible for verifying outputs before using them.

9. Default

If payment is not made, the Provider has no obligation to provide the service. For an ongoing service, if the fee for a new period is not paid, the service stops at the end of the paid period.

10. Dispute resolution

If the Buyer qualifies as a consumer, disputes arising from this agreement may be brought before Consumer Arbitration Committees within the monetary limits announced each year by Türkiye's Ministry of Trade, and before Consumer Courts for disputes above that limit. Applications are made to the committee or court where the Buyer lives or where the consumer transaction took place.

Where the Buyer does not qualify as a consumer, the İstanbul Anadolu (Anatolian Side) Courts and Enforcement Offices have jurisdiction.

11. Entry into force

By confirming the order, the Buyer declares that they have read, understood and accepted all terms of this agreement. The agreement enters into force when the order is confirmed and payment is made, and a copy is sent to the Buyer's email address.
